By accessing or using any service provided by Utkranti Labs Private Limited ("Utkranti Labs", "we", "us", or "our"), including our website at utkrantilabs.com, our products GymPilot, ExamPro, and FinTrackr, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

You must be at least 13 years of age to use our Services. If you are under 18, you must have parental or guardian consent. By using our Services, you represent that you meet these age requirements.

Utkranti Labs provides the following categories of services:

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of Services.

3.1 Account Creation

To access certain features of our Services, you must create an account. When creating an account, you agree to:

• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

3.2 Account Security

You are responsible for maintaining the security of your account credentials. We recommend:

• Using a strong, unique password (minimum 12 characters)
• Enabling two-factor authentication (2FA) where available
• Not sharing your credentials with others
• Logging out from shared or public devices

3.3 Account Suspension

We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or posed a security risk to our platform or other users.

4.1 Subscription Plans

Certain Services are offered on a subscription basis. Subscription fees are billed in advance on a monthly or annual basis, as selected during sign-up.

4.2 Payment Processing

Payments are processed securely through Razorpay (India) and Stripe (International). We do not store your payment card information. All transactions are encrypted and PCI-DSS compliant.

All prices are exclusive of applicable taxes. GST (18%) applies to all services provided to customers in India. International customers are responsible for any applicable local taxes.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of our Services complies with all applicable laws and regulations.

5.1 Permitted Uses

• Using ExamPro for legitimate educational assessments and examinations
• Using GymPilot for authorized fitness club and member management
• Using FinTrackr for personal or business financial management
• Accessing our APIs within documented rate limits
• Integrating our Services with third-party tools via our official integrations
• Sharing content you have the rights to share

5.2 Content Standards

Any content you upload, submit, or transmit through our Services must:

• Be accurate and not misleading
• Not infringe any third-party intellectual property rights
• Not contain malware, viruses, or malicious code
• Comply with all applicable laws and regulations
• Not violate any person's privacy or data protection rights

You must not use our Services to:

7.1 Our Intellectual Property

All content, features, and functionality of our Services — including but not limited to software, text, graphics, logos, icons, images, audio clips, and the compilation thereof — are owned by Utkranti Labs or its licensors and are protected by Indian and international copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use our Services solely for their intended purpose in accordance with these Terms.

7.2 Your Content

You retain ownership of any content you submit to our Services ("User Content"). By submitting User Content, you grant Utkranti Labs a worldwide, royalty-free, non-exclusive license to use, reproduce, process, and display your User Content solely for the purpose of providing and improving our Services.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not infringe any third-party rights.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about our Services, you grant us the right to use such feedback without restriction or compensation to you.

7.4 DMCA / Copyright Infringement

If you believe your copyrighted work has been infringed on our platform, please send a DMCA takedown notice to legal@utkrantilabs.com with the required information.

8.1 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that our Services will be uninterrupted, error-free, or completely secure.

8.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UTKRANTI LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

8.3 Liability Cap

Our total liability to you for any claims arising from or related to these Terms or our Services shall not exceed the greater of:

• The amount you paid us in the 12 months preceding the claim, or
• INR 5,000 (Five Thousand Indian Rupees)

8.4 Indemnification

You agree to indemnify, defend, and hold harmless Utkranti Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

9.1 Termination by You

You may terminate your account at any time by contacting us at support@utkrantilabs.com or through your account settings. Upon termination, your right to use our Services will immediately cease.

9.2 Termination by Us

We may suspend or terminate your access to our Services immediately, without prior notice or liability, for any reason, including if you:

• Breach any provision of these Terms
• Engage in fraudulent or illegal activity
• Fail to pay applicable fees
• Pose a security risk to our platform or other users

9.3 Effect of Termination

Upon termination:

• Your license to use our Services immediately terminates
• We may delete your account data after a 90-day grace period
• You may request a data export within 30 days of termination
• Provisions that by their nature should survive termination will survive (including IP, liability, and governing law sections)

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Send an email notification to registered users at least 14 days before changes take effect
• Display a prominent notice on our website
• For significant changes, require you to re-accept the Terms

Your continued use of our Services after the effective date of any changes constitutes your acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of India, specifically the Information Technology Act, 2000 and the Consumer Protection Act, 2019, without regard to conflict of law principles.

11.2 Jurisdiction

Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts located in Kolhapur, Maharashtra, India.
